01Who we are
Portal Agentic Cloud LLC (“Portal”, “we”, “us”) is a limited liability company based in Montana, United States. These terms are an agreement between Portal and the business that uses our services (“you”). If you accept them on behalf of a business, you confirm you are allowed to bind that business.
They cover our website, your client account, the client workspace (Portal OS) and Portal Agent, the websites we build, host and care for, Magnus, automations and the customer app. A signed scope, order form or written quote may add details for your service. Where it differs from these terms, the signed document wins for that service.
02What Portal provides
- Websites: design and build from a blank page, launched on your domain. Optional hosting on Portal's Vercel team (with SSL and domain connection) and optional care (routine edits, fixes and updates).
- Automations: follow-up work such as replies to inquiries, reminders, review requests and invoices, each scoped and tested before it runs.
- Client workspace (Portal OS) and Portal Agent: one place for your overview, chat, work, customers and files, where AI agents prepare work inside the permissions you set.
- Magnus: a website assistant that answers visitors from facts you approve, takes inquiries and hands them to a person.
- Customer app: a branded app for your own customers, with booking, a shop, rewards and an assistant, as agreed for your business.
- Your client account: where you see your services, billing, invoices, presentations and messages.
What exactly we build and run for you is set in your scope or quote. We describe what a feature does and what needs a person before it is switched on.
03Your account
- Portal is for businesses. You must be able to enter a contract where you live, and at least 18.
- Each person gets their own sign-in. Sharing one password breaks the record of who approved what, which is the part that matters when something goes wrong.
- You are responsible for activity under your sign-ins. Tell us straight away if one is compromised.
- An owner can add and remove people. An owner cannot set someone else's password, so “approved by” keeps its meaning.
- Keep your business details accurate, and tell us when the facts we work from change.
04How Portal uses AI
Portal uses AI models to draft and carry out work: writing replies, preparing posts, sorting inquiries, answering website visitors, and similar tasks. The models come from AI providers we choose for each task, such as Anthropic and OpenAI, sometimes through OpenRouter, or from a provider key you bring.
AI can be wrong
AI work can contain mistakes. It can invent a fact, misread your voice, or produce something that sounds right but is untrue. Our checks and your approval choices reduce that risk; they cannot remove it. You remain responsible for the facts and claims about your business that you approve, individually or through a standing rule. If something goes wrong, tell us and we will work to correct it.
We never train AI on your data
Portal has no model of its own and does not train one. We do not let any provider train on your data either: we use providers whose business terms forbid training on customer data, and where a provider offers zero-retention or no-data-collection settings, we switch them on.
AI is always introduced as AI
When an assistant we build talks to your customers (Magnus on your site, or the assistant in your customer app), it says it is an AI assistant and offers a way to reach a person. You agree not to present our AI as a human, and to label AI-made media wherever a service or the law asks you to.
Usage and caps
AI usage runs on a key with a spending cap: one we set up for you, or one you bring. When a cap is reached, AI drafting pauses until the next period or until you raise the cap. Nothing is charged above the cap you agreed.
Decisions about people
Portal is not built to make decisions about credit, employment, housing, insurance, education, health or legal matters. Do not use it to make such decisions without a qualified person reviewing each one.
05Your approval choices
Before a customer-facing workflow goes live, we agree with you, in its scope or product settings, which actions need your approval every time and which, if any, you preapprove to run under a standing rule. A standing rule names the kind of work, the channel, the audience and its limits. Work outside those limits waits for a new approval.
You can change or withdraw a standing rule for future work at any time; it does not undo actions already sent. If no rule covers an action, Portal holds it for your review. Consent requirements and each service's rules apply to preapproved work too.
06Connected accounts and platforms
You can connect outside accounts, such as Google, Meta (Instagram and Facebook), Shopify or your calendar, so Portal works from what is really happening in your business. When you connect one, you authorize Portal to access it within the permissions you grant. We use that access only to provide the features you use, never sell it, and never use it for advertising.
Google user data. Portal's use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements. We do not use data from Google Workspace APIs to develop, improve or train generalized AI or machine learning models.
Meta. When you connect a Meta account, we follow Meta's Platform Terms and Developer Policies, and you can ask us to delete the data we received from it at any time. See how to delete your data.
You can disconnect an account from your Portal or from that service's own settings. Each service's rules still apply to what you publish there, and services can change; a feature that depends on one may stop working if it does.
07Texts and email
Portal's own inquiry texts
Program: Portal inquiry updates. What you get: if you check the optional text box on our inquiry form, one text confirming your inquiry. Replying 1 opts you in to up to 4 follow-up texts per month about that inquiry.
Message and data rates may apply. Reply STOP to cancel at any time, or HELP for help; you can also email solomon@portalagentic.cloud. Carriers are not liable for delayed or undelivered messages. Text consent is not a condition of submitting an inquiry or buying anything from Portal. We do not share mobile numbers or text consent with third parties or affiliates for marketing. See our Privacy Policy.
Texts and email Portal sends for your business
When an automation sends texts or email to your customers (a missed-call text-back, a reminder, a review request, a follow-up), your business is the sender. You agree to:
- have the consent the law requires before anyone is messaged, including under the TCPA, CTIA guidelines and A2P 10DLC registration for texts, and CAN-SPAM for email;
- never use purchased, scraped or shared contact lists;
- let people opt out by any reasonable means. Portal honours STOP and unsubscribe requests across your automations;
- ask for reviews honestly: no fake reviews, no paying for positive reviews, and no asking only happy customers, in line with the FTC's rules on consumer reviews and each review site's policy.
08The customer app and payments
- You are the merchant of record. Customers pay your business directly through your own payment account (for example, Stripe). Their payment terms apply alongside these.
- You set the offers. Prices, rewards, caps and promotions come from you. The app shows only offers you approved and checks prices on the server at checkout.
- Each customer sees only their own information, and can ask you to export or delete it. We help you answer those requests.
- Your customers' data belongs to your business. We process it on your instructions to run the app.
09What you agree not to do
- Use Portal to create or send anything unlawful, deceptive, harassing, hateful or sexually exploitative, or anything that impersonates a real person or business.
- Present AI as a human, or make claims about your business you know to be false.
- Send messages without the consent the law requires, or to purchased or scraped lists.
- Break the terms of a connected service, or the usage policies of the AI providers we use.
- Try to reach another business's data, probe or overload our systems, or work around limits in the software.
- Target children, or collect information from anyone under 13.
- Resell Portal or run it for other businesses without a written agreement with us.
If we believe Portal is being used this way, we may pause the affected service and tell you why.
10Prices, billing and refunds
Your scope or written quote sets the price, what is included, any deposit, the billing milestones and any recurring service you choose. Our published prices:
| Service | Price |
|---|---|
| Website build | Custom quote, after a private demo of your own site |
| Hosting (optional) | $20 a month |
| Care (optional) | $50 a month, flat. Without care, routine changes are $80 each |
| Magnus (optional) | $249 setup, then $150 a month |
| Automations, client workspace, customer app | Quoted in writing for your business |
| Leaving Portal hosting | $0 handoff, once the build is paid |
- Payments are processed by Stripe. By saving a card in your account, you authorize Portal to charge it for invoices you approve and for the recurring services you chose, until you cancel.
- Recurring services are billed in advance for each period and renew until cancelled.
- Taxes are added where the law requires.
- Price changes: we give you at least 30 days' written notice before changing what you pay.
- Late payment: if an invoice goes unpaid, we remind you and tell you before pausing the related service. Your data is not deleted because of late payment.
Refunds
Deposits and fees are paid in advance and are not refundable for work already done or time already used. Recurring fees are not prorated when you cancel; the service runs to the end of the paid period. If we cannot deliver something your scope promised and cannot fix it, we refund the part of the price for what was not delivered. If you think a charge is wrong, email us before disputing it with your bank, and we will look into it.
11Cancelling and leaving
- You can cancel a recurring service with 30 days' written notice, by email or from your client account. Billing stops at the first renewal date at least 30 days after we receive notice, unless your scope says otherwise. We confirm the date with you.
- We can end a service with 30 days' notice, or straight away if Portal is being used for something in section 9.
- When you leave Portal hosting and the build is paid in full, you get a full copy of the Portal-built site files, your content and form submissions exported, and your domain stays yours. There is no handoff fee.
- Ask before you go if you want a copy of anything else. Deletion follows section 13.
12Who owns what
Everything you put into Portal, and everything Portal makes for you (drafts, copy, designs and the site we build), belongs to your business once it is paid for. You give us permission to use it only to provide our services to you. We will not use your work or your name to promote Portal without asking first.
Portal's own software, designs, templates and know-how stay ours. Concept sites on our website are our own work and are shown as concepts, not client results. If you send us ideas or feedback, we may use them without owing you anything.
13Your data
Our Privacy Policy explains what we collect, who processes it and how long we keep it. In short:
- Your business's data is kept separate from every other business's and shown only to people you have given a sign-in.
- For your customers' data, we act on your instructions as your processor. If you need a data processing agreement, ask and we will sign one with you.
- We return or delete your data within 7 days of you asking. Copies then roll out of our backups automatically, as the Privacy Policy describes.
- We tell you directly, without unreasonable delay, if a security incident affects your data.
14Reliability and security
Portal runs on a dedicated server. Backups are taken every night and copied off the server to a separate machine. Websites we host run on Vercel. Traffic is encrypted in transit, passwords are stored as one-way hashes, and every request is checked against the business you signed into.
On care, a site that is down is looked at the same day, 8am to 8pm Montana time, seven days a week, and change requests get a reply within 1 business day.
15What we can't promise
- No uptime guarantee unless your signed scope gives one. Portal may be unavailable for maintenance, or because something broke.
- No guarantee about results. Drafts and preapproved actions may be wrong, off-voice or unusable.
- Connected services and AI providers can change or fail, and features that depend on them may stop working.
Portal is provided “as is”. To the extent the law allows, we are not liable for indirect or consequential losses, such as lost sales, lost profits or lost time. If we are ever found liable to you, our total liability is limited to the amount you paid us in the three months before the claim. You agree to cover claims brought against Portal that arise from content you approved, messages sent at your direction without the required consent, or your breach of these terms.
Nothing here removes rights you have by law that cannot be signed away.
16Changes to these terms
If these terms or our Privacy Policy change in a way that affects you, we tell you directly at least 30 days before the change takes effect, rather than quietly editing this page. The date at the top is always the last change.
17Law and disputes
These terms are governed by the laws of the State of Montana, United States. If something goes wrong, email us first and we will try to resolve it within 30 days. If we cannot, either of us may take it to the state or federal courts serving Missoula County, Montana.
These terms, with any signed scope, are the whole agreement between us about Portal. If a court decides one part does not hold, the rest still does. Not enforcing something once does not mean giving it up.
